Terms of Service

By accessing or using any services provided by Vinimex AI Lab ("Company," "we," "us," or "our"), including but not limited to our websites, applications, APIs, and related services (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. We reserve the right to modify these Terms at any time. Your continued use of the Services following any changes constitutes acceptance of such changes. It is your responsibility to review these Terms periodically.

2.1. You must be at least 18 years old or have reached the age of majority in your jurisdiction to use our Services. 2.2. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. 2.3. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. 2.4. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.1. AgriMap: Our agricultural mapping platform provides soil analysis, weather data, risk assessments, and crop performance analytics. Data provided is for informational purposes and should not be the sole basis for agricultural decisions. 3.2. Đom Đóm AI Assistant: Our AI-powered assistant provides agricultural guidance, disease identification, and market insights. AI responses are generated algorithmically and may not always be accurate or complete. 3.3. Market & Traceability: Our platform provides market price tracking (AgriPrice) and supply chain traceability. While we strive for accuracy, market data may be delayed or subject to errors. 3.4. All Services are provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free operation.

You agree NOT to: 4.1. Use the Services for any unlawful purpose or in violation of any applicable laws or regulations. 4.2. Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks. 4.3. Use any automated means (bots, scrapers, etc.) to access the Services without our express written permission. 4.4. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services. 4.5. Remove, alter, or obscure any proprietary notices, labels, or marks on the Services. 4.6. Transmit any viruses, malware, or other harmful code. 4.7. Interfere with or disrupt the integrity or performance of the Services. 4.8. Resell, redistribute, or sublicense the Services without our express written consent.

5.1. Ownership: All content, features, functionality, trademarks, service marks, trade names, logos, and other intellectual property displayed on or through the Services are owned by Vinimex AI Lab or its licensors and are protected by intellectual property laws. 5.2. Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. 5.3. User Content: You retain ownership of any data, information, or content you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, process, store, and display such content solely for the purpose of providing the Services. 5.4. Feedback: Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without any obligation to you.

6.1. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. 6.2. You acknowledge that agricultural data you submit may be used in aggregated, anonymized form to improve our Services and develop new features. 6.3. We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security. You acknowledge this inherent risk.

7.1. Certain Services may require payment of fees. All fees are stated in Vietnamese Dong (VND) or US Dollars (USD) unless otherwise specified. 7.2. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. 7.3. We reserve the right to modify pricing with 30 days' notice. Continued use after price changes constitutes acceptance. 7.4. Failure to pay may result in suspension or termination of your access to the Services.

8.1. DISCLAIMER OF WARRANTIES: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 8.2. AGRICULTURAL DISCLAIMER: Agricultural recommendations provided through our Services are based on available data and AI algorithms. Actual results may vary due to local conditions, weather, and other factors beyond our control. We do not guarantee crop yields, pest control, or financial outcomes. 8.3. LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINIMEX AI LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES. 8.4. Our total liability for any claims arising under these Terms shall not exceed the amounts paid by you to us during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Vinimex AI Lab, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with: 9.1. Your use of the Services; 9.2. Your violation of these Terms; 9.3. Your violation of any rights of a third party; 9.4. Your User Content.

10.1. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. 10.2. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, indemnification, and limitations of liability. 10.3. You may terminate your account at any time by contacting us. Termination does not entitle you to any refund of prepaid fees.

11.1. These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law provisions. 11.2. Any disputes arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. 11.3. If negotiation fails, disputes shall be resolved by arbitration administered by the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City, Vietnam. 11.4. The language of arbitration shall be Vietnamese, unless both parties agree to English.

12.1. Entire Agreement: These Terms constitute the entire agreement between you and Vinimex AI Lab regarding the Services. 12.2. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. 12.3. Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 12.4. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. 12.5. Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
